Directors' Shareholding

The Company has been advised that 100,000 Ordinary shares of 5p in the Company were purchased by Brettenham Trust Limited, a company in
which both Mr P C T Warner (Chairman of the Company) and Mr R H Warner (a Non-executive Director) have an interest. The shares were
purchased on 27 November 2008 at 48.5p per share.

Following the purchase, Mr P C T Warner has a non-beneficial interest in 9,672,435 shares, representing 17.22 per cent. of the Company's
issued ordinary share capital and Mr R H Warner has a non-beneficial interest in 5,896,290 shares, representing 10.49 per cent. of the
Company's issued ordinary share capital.

There has been no change in the beneficial interests of Mr R H Warner in the shares of the Company.

Mr P C T Warner has also notified the Company that he has exercised an award under the Company's Performance Share Plan in respect of
5,106 Ordinary shares of 5p in the Company on 27 November 2008. An award of 28,056 shares was granted on 4 October 2005, but due to some of
the performance conditions in respect of the Award not being met, the award vested in respect of 5,106 shares.

Following the exercise, Mr Warner holds 901,005 Ordinary shares of 5p in the Company, representing 1.6 per cent. of the Company's issued
ordinary share capital.
