    Warner Estate Holdings PLC ("the Company")

    Shareholdings of Directors and PDMRs

    Messrs. P C T Warner and P W Collins, Directors of the Company, received 196 Ordinary shares, and Mr M J Stevens, a Director of the
Company, received 194 Ordinary shares in the Company today at 129p each under the Company's All Employee Share Ownership Plan ("the AESOP").
Messrs. P C T Warner and P W Collins purchased 98 of their shares as Partnership Shares and 98 shares each were awarded by the Company as
Matching shares under the rules of the AESOP. The shares purchased were purchased on their behalf by Capita IRG Trustees Limited, the
Trustee of the AESOP. The Trustee will hold the Shares in Trust for a minimum period of five years following the date of the award.  The
shares received represent less than 0.001 per cent. of the Company's issued ordinary share capital.


    The Directors' total interests under the AESOP are as follows:-

    Messrs R Game and S Wigzell, PDMRs of the Company, each received 192 Ordinary shares, Ms S Harries, a PDMR of the Company, received 194
Ordinary shares, and Messrs D J Lanchester, M D Ovens, J Peacock and V B Vaghela, PDMRs of the Company, each received 196 Ordinary shares in
the Company today at 129p each under the Company's All Employee Share Ownership Plan ("the AESOP"). Messrs R Game and S Wigzell purchased 96
of their shares as Partnership Shares and 96 shares each were awarded by the Company as Matching shares under the rules of the AESOP. Ms S
Harries purchased 97 of her shares as Partnership Shares and 97 shares each were awarded by the Company as Matching shares under the rules
of the AESOP. Messrs D J Lanchester, M D Ovens, J Peacock and V B Vaghela purchased 98 of their shares as Partnership Shares and 98 shares
each were awarded by the Company as Matching shares under the rules of the AESOP. All shares purchased were purchased on their behalf by
Capita IRG Trustees Limited, the Trustee of the AESOP. The Trustee will hold the Shares in Trust for a minimum period of five years following the date of the award.  The shares received
