                      Shareholdings of Directors and PDMRs


Messrs. P C T Warner and P W Collins, Directors of the Company, each purchased
36 Ordinary shares, and Mr M J Stevens, a Director of the Company, purchased 38
Ordinary shares in the Company on 29 June 2007 at 668.99p each under the
Company's All Employee Share Ownership Plan ("the AESOP"). Messrs. P C T Warner
and P W Collins purchased 18 of their shares as Partnership Shares and 18 shares
each were purchased by the Company as Matching shares under the rules of the
AESOP. Mr M J Stevens purchased 19 of his shares as Partnership Shares and 19
shares were purchased as Matching Shares under the rules of the AESOP. All
shares were purchased on their behalf by Capita IRG Trustees Limited, the
Trustee of the AESOP. The Trustee will hold the Shares in Trust for a minimum
period of five years following the date of the purchase. The shares purchased
represent less than 0.001 per cent. of the Company's issued ordinary share
capital.


Messrs. P C T Warner, P W Collins and M J Stevens, Directors of the Company,
were also each awarded 448 Ordinary shares in the Company on 29 June 2007 as
Free Shares under the AESOP. Capita IRG Trustees Limited, the Trustee of the
AESOP, will hold the Shares in Trust for a minimum period of five years
following the date of the award. The shares awarded to each Director represent
less than 0.001 per cent. of the Company's issued ordinary share capital.


The Directors' total interests under the AESOP are as follows:-

The Directors' other interests in the shares of the Company are unchanged.


Ms S Harries and Messrs. D J Lanchester, J Peacock and V B Vaghela, PDMRs of the
Company, each purchased 36 Ordinary shares, and Mr M D Ovens, a PDMR of the
Company, purchased 38 Ordinary shares in the Company on 29 June 2007 at 668.99p
each under the Company's All Employee Share Ownership Plan ("the AESOP"). Ms S
Harries and Messrs. D J Lanchester, J Peacock and V B Vaghela purchased 18 of
their shares as Partnership Shares and 18 shares each were purchased by the
