                      Shareholdings of Directors and PDMRs



Messrs. P C T Warner and P W Collins, Directors of the Company, each purchased
34 Ordinary shares, and Mr M J Stevens, a Director of the Company, purchased 32
Ordinary shares in the Company on 30 April 2007 at 771p each under the Company's
All Employee Share Ownership Plan ("the AESOP"). Messrs. P C T Warner and P W
Collins purchased 17 of their shares as Partnership Shares and 17 shares each
were purchased by the Company as Matching shares under the rules of the AESOP.
Mr M J Stevens purchased 16 of his shares as Partnership Shares and 16 shares
were purchased as Matching Shares under the rules of the AESOP. All shares were
purchased on their behalf by Capita IRG Trustees Limited, the Trustee of the
AESOP. The Trustee will hold the Shares in Trust for a minimum period of five
years following the date of the purchase. The shares purchased represent less
than 0.001 per cent. of the Company's issued ordinary share capital.



The Directors' total interests under the AESOP are as follows:-

Messrs. D J Lanchester and V B Vaghela, PDMRs of the Company, each purchased 34
Ordinary shares, and Ms S Harries, Mr M D Ovens and Mr J Peacock, PDMRs of the
Company, purchased 32 Ordinary shares in the Company on 30 April 2007 at 771p
each under the Company's All Employee Share Ownership Plan ("the AESOP").
Messrs. D J Lanchester and V B Vaghela purchased 17 of their shares as
Partnership Shares and 17 shares each were purchased by the Company as Matching
shares under the rules of the AESOP. Ms S Harries, Mr M D Ovens and Mr J Peacock
purchased 16 of their shares as Partnership Shares and 16 shares were purchased
as Matching Shares under the rules of the AESOP. All shares were purchased on
their behalf by Capita IRG Trustees Limited, the Trustee of the AESOP. The
Trustee will hold the Shares in Trust for a minimum period of five years
