                     TOTAL VOTING RIGHTS AND SHARE CAPITAL



In conformity with the Transparency Directive's transitional provision 6 and
further to the voting rights and share capital announcements on 14th December
2006 and 19th January 2007, Warner Estate would like to notify the market of the
following:



Further to the issue today of 2,517,648 ordinary shares of 5p each following the
placing announced on 26th January 2007, Warner Estate's issued share capital is
comprised of 56,020,156 ordinary shares of 5p each at the date of this notice.



All the ordinary shares have equal voting rights and none of the ordinary shares
are held in treasury. The total number of voting rights in Warner Estate is
therefore 56,020,156.



The above figure (56,020,156) may be used by shareholders as the denominator for
the calculations by which they will determine if they are required to notify
their interest in, or a change to their interest in, the share capital of Warner
Estate under the FSA's Disclosure and Transparency Rules.
