WARNER ESTATE HOLDINGS PLC

The following is the text of a letter being sent to shareholders of Warner
Estate Holdings PLC:-

"Dear Shareholder

The Board of Warner Estate Holdings PLC notes that the tender offer made by
Trefick Limited for approximately 13.3 per cent. of its shares has been
accepted in respect of only 3.37 per cent. of its share capital.

The Board remains committed to its strategy for growing the underlying value
of the Company and it is pleased at the support for this shown by
shareholders.

We will give further details in early December of the Company's continuing
successful development in the statement accompanying the interim results to 30
September 2001.
