Warner Estate Holdings PLC ("the Company")

Following the calculation of the performance criteria attached to allocations
made on 18 December 1997 under the Company's Long Term Incentive Plan ("the
Plan"), the vesting of those allocations has been finalised. As a result, Mr
PCT Warner, Chairman of the Company, yesterday had transferred to him 2,442
ordinary shares of 5p each in the Company and 4,883 matching shares allocated
to him under the Plan have lapsed. Following the transfer, Mr Warner is
interested in 880,922 shares, representing 1.72 per cent. of the Company's
issued ordinary share capital and has a remaining contingent interest in up to
15,023 shares pursuant to the Plan. Mr Warner's other interests are unchanged
as a result of this transfer.
