                              PDMR's Shareholding



Warner Estate Holdings PLC has today made a conditional award under the
Company's Performance Share Plan to Mr M D Ovens, a PDMR and Managing Director
of Ashtenne Industrial Fund, which is managed by the Company. The award of 9,912
Ordinary Shares of 5p each in the Company at nil consideration is pursuant to a
recommendation of the Company's Remuneration Committee on 19 January 2006. The
shares conditionally vest on the third anniversary of the award.
