WARNER ESTATE HOLDINGS PLC

Acquisition completed

The acquisition of Winglaw Group Limited, which was announced on 24 December
1999, has been completed today.

The 1,000,000 new ordinary shares of 5p each in Warner Estate Holdings PLC
forming part of the consideration were allotted today and it is anticipated
that those shares will be admitted to the Official List and that dealings will
commence therein on 2 March 2000.  The new ordinary shares will rank pari
passu in all respects with the existing issued ordinary shares of Warner
Estate Holdings PLC, save that they will not rank for the final dividend in
respect of the year ended 30 September 1999 of 9.1p per share to be paid on 7
April 2000.
