                      Woolworths Group plc ("the Company")

Application has been made to the Financial Services Authority and the London
Stock Exchange Plc for a total of 9,590 Ordinary shares of 12.5p each ("shares")
to be admitted to the Official List.

It is expected that admission will be granted on 9 January 2003 and trading will
commence on 10 January 2003.

These shares are being issued as a result of the exercise of share options under
the Woolworths Group Sharesave Scheme and will rank pari passu with the existing
issued ordinary shares.
