Application has been made to the Financial Services Authority and the London
Stock Exchange plc for a total of 401,311 ordinary shares of 12.5p each
("shares") to be admitted to the Official List.



It is expected that admission will be granted on 25 April 2005 and trading will
commence on 26 April 2005.



These shares are being issued as a result of the exercise of share options under
the Woolworths Executive Share Option Scheme 2001.



These shares will rank pari passu with the existing issued ordinary shares.
