   BRYAN TOYE LIMITED EXTENDS ACCEPTANCE PERIOD FOR TOYE & CO plc ("TOYE") 
MANDATORY CASH OFFER 
 
   Bryan Toye Limited is pleased to announce that, as at 3.00 p.m. on 3 
September 2014 (being the second closing date of the Offer), it had 
received acceptances in respect of 777,190 Toye shares representing 
approximately 34.6% of Toye's entire issued share capital. As a result, 
Brian Toye Limited and its concert parties now own or have received 
acceptances in respect of 1,977,084 Toye shares representing 
approximately 88% of Toye's entire issued share capital. 
 
   The Offer is extended for a further 13 days until 5p.m. on 16 September 
2014.  The Offer will not be extended beyond this date. 
 
   Shareholders are reminded that Toye's admission to trading on AIM will 
cease at 07:00 on 17(th) September and that Toye will be re-registered 
as a private company in due course.  Following this there will be 
significantly reduced liquidity and marketability of any shares not 
assented to the Offer nor is Bryan Toye Limited required to maintain the 
Offer price of any shares which may be offered to it after 16(th) 
September 2014. 
 
   Mr Bryan Toye and the Director of Bryan Toye Limited accept

   The Offer is subject to the provisions of the City Code on Takeovers and
