("Radiant Growth" or the "Company")

GBP5m Standby Equity Distribution Agreement

Radiant Growth is pleased to announce that on 12 March 2012, it entered into a Standby Equity Distribution Agreement ("SEDA") for up to an aggregate of GBP5m over 3 years with YA Global Master SPV Ltd. ("YA Global"), which is advised by Yorkville Advisors, LLC.

Under the terms of the SEDA, the Company may draw down tranches of up to GBP250,000, or 2 times the average weighted daily aggregate trading value of the Company's shares for the five trading days prior to the draw down request, whichever is the smaller.

The price at which the Company will issue shares to YA Global will be 95% of the lowest daily volume weighted average price of the shares during the 10 consecutive trading days beginning on the first trading day after the relevant draw down notice.

The directors of the Company believe that the SEDA will improve Radiant Growth's ability to fund its current and future investment opportunities.
