Limited as trustee of the BT Pension Scheme and Hermes Pension Management
Limited has an interest in 5,773,018 (82,913 Direct and 5,690,105 Indirect)
Ordinary Shares of 5p each which, represents 11.59% of the issued share capital
of the Company. The number of voting rights is also 5,773,018.

Of the above amount Hermes UK Small Companies Focus Fund has a direct interest
in 5,326,726 Ordinary Share of 5p each which represents 10.85% of the issued
share capital of Oxford Instruments plc.

BT Pension Scheme Trustees Limited is the parent undertaking of Britel Fund
Trustees Limited, which is the parent undertaking of Hermes Pension Management
Limited. Hermes Pensions Management Limited is the parent undertaking of:

 1. Hermes Investment Management Limited, which acts as investment manager of
    0.91%
   
 2. Hermes Focus Asset Management Limited, which acts as investment manager/
    general partner of 10.58%.
