MSB International PLC (the 'Company')

New Approach and Adjournment of Shareholder Meetings

The Company announces that it has received an indicative offer from Networkers
International plc at 73 pence per share in cash. Having considered this approach
and the evidence of the availability of finance to enable the offer to be
completed if made, the directors of the Company have concluded that the approach
is genuine and deserves due consideration.

Accordingly, the Board of the Company will seek an adjournment of the Court
Meeting and the Extraordinary General Meeting convened for 10.00 am and 10.15 am
respectively on 13 September 2006 at which the offer by Keyman Personnel Limited
at 65 pence per share was to be considered.  A further announcement will follow.
