Fitness First plc ("Fitness First" or the "Company")

Further to the announcement of the Company's placing and open offer on 31
January 2002 and the admission of the shares issued in connection with the
placing and open offer to (i) listing on the Official List of the UK Listing
Authority and (ii) trading on the London Stock Exchange's markets for listed
securities, the Company announces that the Directors of Fitness First are
interested in the ordinary share capital of the Company as follows:
