("Fitness First" or the "Company")

RESULT OF ANNUAL GENERAL MEETING 

Fitness First Plc, one of the world's leading health club operators, held its
Annual General Meeting ("AGM") earlier today, at which all resolutions
proposed to shareholders were duly passed. At the meeting Christopher Pearce,
Chairman, updated shareholders on current trading and made the following
statement:

"I am pleased to announce that all of the Group's operations have started the
year well and are trading in line with our expectations.

Since the Group's year end on 31 October 2000 the number of clubs has
increased from 115 to 146, while membership has grown from 237,000 to 340,000.
This represents an increase of six new clubs and an additional 33,000 members
since 25 January 2001, the date of our preliminary announcement. We are
therefore on target to have 190 clubs by the end of the current financial
year, consolidating our position as the leading operator of health clubs in
Europe.

The buoyant conditions within the global health and fitness industry, the
strong "pipeline" of new clubs and the Group's financial strength confirm that
we are well placed to sustain a strong rate of growth in profits and earnings.
We remain confident that 2001 will be another successful year for Fitness
First".

Sub-Division of Shares

Following the approval of the resolutions at the AGM, the Company's ordinary
shares of 25p each will be sub-divided into two new ordinary shares of 12.5p
each (the "new Ordinary Shares"). Admission of the new Ordinary Shares to the
Official List and trading on the London Stock Exchange's markets for listed
securities is expected to take place on 1 March 2001. Following the
sub-division the Company will have 91,660,510 ordinary shares in issue.
