November 2001, has not held any directorships of other publicly quoted
companies in the past five years and there are no matters to be disclosed
pursuant to paragraphs 6.F.2 (b) to (g) of the listing rules.



For the purposes of paragraph 16.13 of the listing rules, Mr Hayter has no
interests in Chemring Group PLC 5p Ordinary Shares.
