        Recommended Offers for Circle Communications plc
                                
  Compulsory acquisition of outstanding Circle Ordinary Shares
                                

Southern  Star announces that, by 3.00 pm today, it had  received
valid  acceptances  under  the  Ordinary  Offer  in  respect   of
10,967,372  Circle  Ordinary  Shares, representing  approximately
99.2 per cent. of the issued ordinary share capital of Circle.

In  accordance with the provisions of sections 428 - 430F of  the
Companies  Act  1985,  Southern  Star  has  commenced  compulsory
acquisition procedures to acquire the outstanding Circle Ordinary
Shares.

The  Offers (but not the Mix and Match Facility) will remain open
for acceptance until further notice.

Words  defined in the Offer Document dated 5th June,  1997  shall
have  the  same meaning in this announcement, unless the  context
otherwise requires.

The Offers are not being made, directly or indirectly, in or into
the United States of America, Canada, Japan or Australia.
