2005 (the Company's LTIP), the Company granted conditional awards, over ordinary 
shares of 6p each, at a price of 123.0p (the closing mid market price on 19

Performance Criteria 
 
The release of the awards to participants, on a straight line basis, is 
dependent upon the satisfaction of performance conditions, based on the Group's 
adjusted profit before tax result on 31 December 2011 reaching between GBP90 
million and GBP100 million. 
Mr Viard's performance condition will run until 31 December 2011, at which stage 
and if shares have vested, he will be required to hold the shares for a further
