The  board  of Birkby plc has been notified on 22 June 1998 pursuant  to
the Companies Act 1985 that following a change of circumstances, Mercury
Asset  Management Limited now has a non-beneficial holding in  4,955,948
ordinary shares of 5p which they understand to represent 10.07%  of  the
company's issued share capital.
