Disclosure of potential NEC exchange offer

Date: 4 February 2005

Birmingham City Council (the "City") confirms that, as part of its current
review into the financing of The National Exhibition Centre in Birmingham, it is
in discussions with its advisors, UBS Investment Bank and Sector Treasury
Services Ltd, with regard to making a public exchange offer to the holders of
the following listed stock issued by NEC Finance plc:

#100,000,000 10.625% due 30th September 2016 ISIN: GB0006185440
#115,000,000 13.625% due 30th September 2016 ISIN: GB0006185440

A further announcement by the City will be made in due course. In the meantime,
there can be no assurance that any offer will be made.
