Dear Sirs

We wish to inform you that pursuant to the decision earlier taken by the ACC
Board to divest from non core activities, ACC has sold its entire shareholding
in its wholly owned subsidiary ACC Nihon Castings Limited at a consideration of
Rs. 30 crores to V N Enterprises Limited of Hindustan Udyog Group. The
transaction has no significant impact on the results of the Company.
