relating to the issue by Imperial Brands Finance
PLC of U.S.$1,250,000,000 5.500 per cent.
Notes due 2030 (the 2030 Notes) irrevocably and unconditionally
guaranteed by Imperial Brands PLC under the €15,000,000,000 Debt
Issuance Programme established by Imperial
Brands Finance PLC and Imperial Brands Finance
Netherlands B.V. (the Programme); and
Final Terms dated 27 June
2024 (the 2034
Notes Final Terms
and, together with the 2030 Notes Final Terms, the Final Terms) relating to the issue
by Imperial Brands Finance PLC of
U.S.$750,000,000 5.875 per cent. Notes due 2034
(the 2034
Notes and, together with
the 2030 Notes, the Notes)
irrevocably and unconditionally guaranteed by Imperial Brands PLC
under the Programme.
Each Final Terms must be read in conjunction
with the prospectus in respect of the Programme dated 16 February
2024 including all documents incorporated by reference and the
supplement to it dated 7 June 2024 (the prospectus as so
supplemented, the Prospectus), which constitutes a base
prospectus for the purposes of Regulation (EU)
2017/1129 as it forms part of United Kingdom domestic law by virtue
of the European Union (Withdrawal) Act 2018. Full
information on Imperial Brands Finance PLC, and in respect of the
offer of the Notes, is only available on the basis of the
combination of the Prospectus and the relevant Final Terms in
respect of the relevant Notes.
