Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangement of Certain Officers.

 

Resignation of Director and Executive Officer

 

On May 16, 2017, Carl Ager resigned as a director of Searchlight Minerals Corp. (the “Company”), effective immediately. Mr. Ager also alleged that he was terminated as Vice President, Secretary and Treasurer without cause by the Company as a result of the Company’s failure to pay his salary, which he believes constitutes a material breach of his employment agreement. The Company disputes this allegation. Further, Mr. Ager has informed the Company that his resignation as a director was due to material disagreements with the management of the Company.
