No, I don't believe they can be moved to PNXP. Frankie transferred all the assets there and left SANP shareholders high and dry after running SANP into the ground. I never understood how that was legal.

I would automatically be suspect of anyone taking over such a crappy ticker with its bad history. But that's about the only hope I think they have.

Read another story says it's 350 mil preferred sh which is probably 35 bil vommon

We're giving them 350mil sh and they're giving us 5 mil sh worth about 1$1 mil at .24 cents so both stocks are active pnxp has been over $2.00 they only have 20 mil sh outstanding and 75 mil a/s we get 25% of them they only get 2% of us probably after an r/s maybe not

So SANP will still technically exist (for now)?

Looks like around 380 sh of pnxp for every million of sanp

Are you not aware that everything seems to have been shipped over to PNXP?

Where are SANP shareholders? All we need to know/care is, what's happening with our SANP shares?
Why are we directed to PNXP?

So, Frank, Williams and Jodrey all gave up their preferred shares in this transaction.

At September 30, 2024 and December 31, 2023 there are 500,000,000 shares authorized of Preferred “A” Stock, par or stated value: $0.001. Total Shares Issued & Outstanding was 350,000,000 and 350,000,000, respectively.

Those shares are converted by a factor of 100 into 35B common. There're not enough shares available for that to happen, of course, but it doesn't matter. SANP is worthless both as a company and as a subsidiary to PNXP at this stage of the game.

I wonder what bullshit Frank will come up with this Saturday to give a different impression of things as far as SANP goes. That is, if he even mentions SANP.

NOTE 11 - SUBSEQUENT EVENTS

In accordance with ASC 855-10, the company evaluated its operations subsequent to the third quarter of 2024, up to the issuance date of these financial statements. No material subsequent events requiring disclosure were identified beyond those previously discussed. This includes previously filed Form 8-Ks for Q1, Q2, and Q3 2023, and the Form 8-K for year-end 2023, all filed under Item 9.01 (Financial Statements and Exhibits). These filings, which are incorporated by reference into our audited financial statements, include the unaudited consolidated financial statements for Q1, Q2, and Q3 of 2024.

On March 6, 2025, the Company entered into a share exchange agreement (the “Exchange Agreement”) with Pineapple Express Cannabis Company, a Nevada corporation (“PNXP”), whereby the Company acquired 5,000,000 shares of PNXP Common Stock in exchange for 350,000,000 shares of Company Series A Preferred Stock. As a result of this transaction, PNXP acquired voting control of the Company and, thus, the Company is now considered a owned subsidiary of PNXP.

No one can say with certainty that SANP is no longer anything but an empty shell. So, my guess is no.

With the president being upbeat with crypto, does any one think this stock will take off??

Fewer shares are being dumped from accounts. Pretty soon everyone will have given them all to MMs.

No surprise that no one is transferring their SANP shares to PNXP, either. It's just SANP redux.

From what I've been able to gather, there is no new business plan. It's almost like he's taking SANP's Groovy business to this new ticker. And as far as new suckers there, there aren't any. Not a single share has traded since the news that Frank has taken over the ticker. That shows you what the OTC gamblers think of the news. Even before the news, the ticker hardly traded.

Yeah. I'm waiting for an explanation as to why it was necessary to buy a new ticker to promote GROO. If in fact, that's the "plan".

I'm also waiting to see how the stock reacts to the price he paid for his 87% of the available shares out which is at a 90% discount to the current price.

Looks like Frankie is on a new ticker. He is probably trying to escape the history from SANP.
