( 1)  This Form 4 filing is being done to report the sale of NeoMagic common stock by Commetasa in a private transaction to Bluestone Financial LTD. The total shares of common stock reportable by Mr. Tomasello remains cumulatively 43,613,403.
( 2)  The shares of Common Stock are held in the name of Commetasa, of which Mr. Tomasello is chairman and has been granted sole voting power. Mr. Tomasello disclaims beneficial ownership of the shares except to the extent of his pecuniary interest therein.
( 3)  The shares of Common Stock are held in the name of Bluestone Financial LTD., of which Mr. Tomasello is a director. Mr. Tomasello disclaims beneficial ownership of the shares except to the extent of his pecuniary interest therein.
