( 1)  Conversion price is equal to the lower of (a) $0.50 per share or (b) eighty percent (80%) of the per share price of any equity offering closed by he Issuer while the Note remains outstanding.
( 2)  Reflects principal balance of convertible note.
( 3)  Warrants issued without additional consideration in connection with Reporting Person's purchase of Convertible Redeemable Promissory Note.
( 4)  $500,000 convertible on 8/19/2013, $200,000 convertible on 1/22/2014 and $300,000 convertible on 3/12/2014.
( 5)  $500,000 expires on 9/14/2015 and $500,000 expires on 10/15/2015.
( 6)  Common Stock Warrant was amended on October 27, 2014 to reduce the Exercise Price from $1.00 per share to $0.50 per share.
( 7)  500,000 exercisable on 8/19/2013, 200,000 exercisable on 1/22/2014 and 300,000 exercisable on 3/12/2014.
( 8)  500,000 expire on 9/14/2015 and 500,000 expire on 10/15/2015.
( 9)  On October 27, 2014, the Reporting Person exercised the warrants on a cashless basis, resulting in Jameson withholding 500,000 of the warrant shares to pay the exercise price and issuing a net 500,000 shares of common stock.
