Item 8.01 Other Events

On September 27, 2007, the Board of Directors of MEDirect Latino Inc. (the “Company”) determined to voluntarily de-register the Company’s common stock, par value $0.0001 per share (the “Common Stock”) under the Securities Exchange Act of 1934 (the “Exchange Act”). The Company intends to immediately file a Certification and Notice of Termination of Registration under Section 12(g) of the Exchange Act on Form 15 with the Securities and Exchange Commission to de-register the Common Stock. Upon filing the Form 15, the Company’s obligation to file reports required by Section 13(a) of the Exchange Act, such as Forms 10-K, 10-Q and 8-K, will be immediately suspended.
