Triwood Capital Corp. Announces Expiration of Letter of Intent for the Acquisition of Red Stag Resources Inc.

Triwood Capital Corp. (the "Corporation") (TSX VENTURE:TRD) wishes to announce
that the letter of intent dated March 17, 2010 (the "Letter of Intent") related
to the proposed acquisition of all the issued and outstanding shares of Red Stag
Resources Inc. (the "Proposed Acquisition"), a private company incorporated
pursuant to the laws of Canada and which carries on the business of exploring
for oil and gas in Thailand, has expired and the Corporation has determined that
it will not enter into an extension of the Letter of Intent and does not intend
to pursue the Proposed Acquisition further.


The Corporation has already commenced its review of other opportunities and
looks forward to announcing a potential acquisition in the near future.
