acquisition of certain assets of Circle Media, Inc. ("Circle
Media"). Circle Media, with their proprietary Fan.Dex Data
Management Solution, is a data management and business intelligence
solution that enables users to manage and leverage their fan
information. By merging data sources from a variety of vendors and
fan engagement touch points, the Fan.Dex platform creates a single
unique fan profile with enriched and validated data.
Through Gaming Nation's wholly-owned subsidiary, 5050 Central
Ltd., existing clients will benefit from the addition of the
Fan.Dex technology as it will create the opportunity to provide
detailed demographic data to further enhance their fundraising
raising initiatives.

With this acquisition, members of Circle Media's management
team, including Joe Casey,
Dan Libro and Heather Voight will join Gaming Nation. Mr.
Casey will assist in the transition and management of the business
operations, Mr. Libro will assume the role of Chief Product Officer
of Gaming Nation and Ms. Voight will serve as Vice President of
Collegiate Athletics.
