EXPLANATORY NOTE

CPI Corp. (the "Company") is filing this amendment (the "Amendment") to its Form 8-K, which was originally filed with the Securities and Exchange Commission (the "SEC") on October 18, 2011 (the "Original Form 8-K"), for the sole purpose of correcting the formatting of the Original Form 8-K. Except for the correction of the formatting, no other changes have been made to the Original Form 8-K in this Amendment. This Amendment speaks as of the original filing date of the Original Form 8-K, does not reflect events that may have occurred after the original filing date and does not modify or update in any way disclosures made in the Original Form 8-K.

Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing

On October 18, 2011, CPI Corp. issued a press release announcing that it had received notice on October 12, 2011 from the New York Stock Exchange ("NYSE") that, due to its average market capitalization falling below $50 million over a consecutive 30 day trading period, the Company is currently out of compliance with the NYSE's listing standards. A copy of the press release is attached hereto as Exhibit 99.1 and the information in the press release is incorporated herein by reference.
