As such, David Randall Pross may be deemed to have or share beneficial ownership of the common stock held directly by his spouse, Mrs. Pross. Mr. Pross disclaims any beneficial ownership of the reported shares other than to the extent of any pecuniary indirect interest he may have therein as the spouse of Mrs. Pross, and this report shall not be deemed an admission of beneficial ownership of those 550 shares for Section 16 or any other purpose..
