Item 8.01.

Other Events.

On July 2, 2009, DCAP Group, Inc. (the “Company”) issued a press release (the “Press Release”) announcing that the Commercial Mutual Insurance Company conversion from an advance premium cooperative to a stock property and casualty insurance company has taken effect and that the Company has acquired a 100% equity interest in the entity.

The Press Release also announced that the Company’s name has been changed to “Kingstone Companies, Inc.”, that its new NASDAQ trading symbol is “KINS” and that the Company has sold its three remaining stores.

A copy of the Press Release is furnished as Exhibit 99.1 hereto.
