ITEM 3.01

Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing

On December 23, 2008 Biopure Corporation (the “Company”) received notice from The Nasdaq Stock Market (“Nasdaq”) indicating that Nasdaq was again extending the suspension of the bid price and market value continued listing requirements, thereby granting the Company an extension to regain compliance with Marketplace Rule 4310(c)(4), requiring a minimum bid price of $1.00 for continued listing. The Company now estimates that it has until June 15, 2009, to regain compliance with the minimum bid price by attaining a $1.00 closing bid price for at least 10 consecutive trading days.
