The investigation concerns whether the BigBand Board of Directors breached their fiduciary duties to BigBand stockholders by failing to adequately shop the Company before entering into this transaction and whether ARRIS Group, Inc. is underpaying for BigBand shares, thus unlawfully harming BigBand stockholders.
