Unisys Corporation Announces Closing of $190 Million Offering of 5.50% Convertible Senior Notes

BLUE BELL, Pa., March 15, 2016 /PRNewswire/ --

Unisys Corporation (NYSE: UIS) ("Unisys") announced today that it has closed its previously announced offering of $190 million aggregate principal amount of 5.50% Convertible Senior Notes due 2021 (the "notes"). The proceeds from the offering, net of the initial purchasers' discount and the cost of the capped call transactions discussed below, are approximately $160.0 million. Unisys intends to use these net proceeds for general corporate purposes, which may include funding cost reduction and savings initiatives, obligations under its defined benefit pension plans, investments in next-generation services and technologies and repaying existing debt. Among these possible actions, Unisys may use the net proceeds from the offering to help address the maturity of the notes due 2017.

As previously announced, Unisys entered into capped call transactions with respect to the notes. These capped call transactions effectively raise the conversion premium on the notes from approximately 22.50% to approximately 60%, which raises the initial conversion price of approximately $9.76 per share of common stock to approximately $12.75 per share of common stock.

Unisys also granted an option to purchase up to an additional $28.5 million in aggregate principal amount of the notes on the same terms and conditions, solely to cover over-allotments, if any. If this option to purchase additional notes is exercised, Unisys may enter into additional capped call transactions with respect to the additional notes.

Unisys Delivers First Phase of an Enhanced 311 System for City of Philadelphia

Built on the Salesforce.com Service Cloud Platform, the upgraded system aims to engage citizens over a wider range of communications channels for city services

Unisys Corporation UIS -0.09% today announced that it has been selected to build a more flexible and robust customer relationship management (CRM) solution to support the City of Philadelphia's " Philly 311 " program for responding to citizen requests and inquiries, and proactively reaching out to citizens to improve their quality of life.

Based on Salesforce.com's Service Cloud CRM Platform, the new system will be designed to expand citizens' access to city services over a diverse range of communication channels including telephone, Internet, mobile phone and social media such as Facebook and Twitter.

The City of Philadelphia selected Unisys to develop an innovative cloud-based foundation for the government CRM based on Unisys' decade of experience delivering 311 solutions to other large municipalities. Unisys will implement and support the system, which aims to provide transparent access to government information and services in support of the city's citizen engagement and open data initiatives.

"This implementation is designed to help the City of Philadelphia build on the success of its Philly 311 constituent engagement initiative, which has been fielding citizen requests for information and service for more than five years," said Crystal Cooper, vice president of public sector solutions at Unisys. A Philly 311 pilot project was deployed in June 2014 with an initial user base of city employees and citizens. The pilot will begin the transition from the current system and facilitate the change management process.

Unisys Selected as an Awardee for Department of Homeland Security EAGLE II Contract with a $22 Billion Ceiling

Unisys to compete to provide a full range of solutions and services for IT integration, software development, and operations and maintenance

Unisys (NYSE:UIS) was selected as one of several prime contractors by the U.S. Department of Homeland Security (DHS) to compete to provide a range of information technology services under the EAGLE II contract, which has a $22 billion contract ceiling.

Under the contract, Unisys and other EAGLE II contract awardees will compete for task orders covering numerous IT services for DHS under the Unrestricted Track of Functional Category 1, Service Delivery, including integration; software design and development; and operations and maintenance. The contract follows DHS' original EAGLE contract, a vehicle under which Unisys provided services to agencies such as the Transportation Security Administration, Customs and Border Protection (CBP) and the U.S. Coast Guard.

The EAGLE II contract, expected to serve as the vehicle to provide the vast majority of IT services to DHS and its component agencies, has a ceiling value of $22 billion over a five-year base period, followed by one two-year option period.

Unisys Unveils Solution to Help Law Enforcement Agencies Better Detect, Prevent and Tackle Crime

U-LEAF solution provides tools to cope with constantly evolving crime and threat patterns and the associated deluge of crime data

Unisys Corporation (NYSE: UIS) today announced a new law enforcement solution designed to help police departments and other justice and public safety agencies collaborate to conduct and successfully close investigations and intelligence activities.
The Unisys Law Enforcement Application Framework (U-LEAF) gives resource-challenged law enforcement personnel a tool to help them meet the growing public demand for effective investigations of crime and terror threats. The solution documents and logs evidence and intelligence related to criminal investigations, while facilitating the secure sharing of information across organization boundaries. It provides a single, browser-based interface with multiple analytical views of crime data to improve investigators' ability to gather, analyze and act upon critical information.
When investigating crime, law enforcement officers must contend with a deluge of information from multiple agencies and data sources. With a high percentage of organization data held in unstructured formats, officers are left with the herculean task of sifting through huge quantities of digital data before making decisions.
U-LEAF gives investigators a flexible technology tool to meet challenges in policing, national security, immigration and citizenship enforcement, military and finance. That flexibility allows for easy system configuration as threats, crime patterns, legislation or public expectations change.

Unisys (NYSE:UIS - News) has been commissioned by the Hong Kong Government's Efficiency Unit to help redesign its Youth Portal (www.youth.gov.hk/en) using public social networks and new mobile computing capabilities to better engage with Hong Kong's young people.

Unisys has improved its returns substantially.

It is obvious that the sells were from the "Great Unwashed". Any insider worth his 10b5 Cojones knew about earnings in advance and bought or held. Need I say more? :))

The fact that UIS showed a profit in the worst economic quarter in 88 quarters is rocka rolla.

right now i'm trying to decide if i want to hold onto this or sell it today... i'm thinkin its going to drop tomorrow.... but with my luck lately... it will go up another 10-20%

I wish it was Pre split.... that would have put a huge smile on this guys face...

Unisys swings to third-quarter profit despite sales

SAN FRANCISCO (MarketWatch) -- Unisys Corp. shares surged more than 11% Wednesday as the technology-services provider swung to a third-quarter profit in the wake of a reverse stock split.

Unisys /quotes/comstock/13*!uis/quotes/nls/uis (UIS 27.14, +3.07, +12.75%) climbed $2.74 a share to $26.76 after the company reported a quarterly profit of $61.1 million, or $1.48 a share, compared with a loss of $34.7 million, or 96 cents a share, in the year-ago period.
