ARNHEM, The Netherlands, June 10 /PRNewswire-FirstCall/ -- ARCADIS (EURONEXT: ARCAD), the international consulting, design and engineering company, today announced that Coentunnel Company B.V., a consortium to which ARCADIS belongs has concluded one of the largest project financings in the Netherlands with regard to the contract for the "Capacity Increase Coentunnel Route". This concerns a so-called DBFM contract (Design, Build, Finance and Maintain) with a contract term of 30 years and a total value of approximately EUR 595 million (including financing costs). Coentunnel Company B.V. consists of Arcadis, BESIX Group, CFE, Dredging International, Dura Vermeer, TBI Bouw (represented by Haverkort Voormolen) and European Infrastructure Investment (a 100% subsidiary of Vinci Concessions). During the two year tendering procedure, the Dutch/Belgian/French consortium has sought the financial advice of Rabobank and RebelGroup. The international law firm Clifford Chance has assisted the consortium with legal advice. Documentation including financial facilities have been signed, representing a value of over EUR 550 million. This concerns a club deal with European investment bank (EUR 200 million 28 years facility), Fortis, Bayerische LandesBank, The Royal Bank of Scotland, Bank Nederlandse Gemeenten and KfW IPEX-Bank GmbH as Mandated Lead Arrangers (EUR 100 million 5.5 years facility and EUR 200 million 29.5 years facility). An optimum leverage has been achieved with a Mezannine Loan facility of EUR 21 million with Fortis and Bank Nederlandse Gemeenten and an Equity Bridge facility of EUR 28 million with Fortis. Fortis will furthermore have the role of Agent Bank under the facilities. The banks have acquired the legal advice of Denton Wilde Sapte and Nauta Dutilh. As a technical consultant, Atkins Consultants Limited advised the banks regarding the technical aspects of the project. What is characteristic of a DBFM agreement is that the principal delivers the design and realisation, as well as the financing, as set out above, and the maintenance. Coentunnel Company will generate its revenues from the future availability fee, based on the actual availability of the road system for users in the period 2008 - 2038.
