The initial public offering consists of 4,600,000 shares offered by Nextest and 1,610,000 shares offered by certain selling stockholders. The total includes the overallotment option to purchase up to an additional 600,000 shares from Nextest and 210,000 shares from the selling stockholders, which was exercised in full by the underwriters. The initial public offering generated gross proceeds of $80.9 million with approximately $59.9 million going to Nextest. Merrill Lynch & Co. acted as the sole book-running manager for the offering.
