('CHT', TAIEX: 2412; NYSE: CHT) announced after the close of trading in New York on August 9, 2005 that the Company's secondary offering of 135.1 million American Depositary Shares (ADSs) by the Ministry of Transportation and Communications of the Republic of China ('MOTC') was priced at US$18.98 per ADS. Each CHT ADS represents ten common shares of CHT. The offering price of US$18.98 per ADS (equivalent to NT$60.67 per common share) represents a 0.5 percent discount to the August 9, 2005 closing price of NT$61.00 for the CHT common shares that trade on the Taiwan Stock Exchange and a 3.0 percent discount to the August 9, 2005 closing price of US$19.57 for the CHT ADSs that trade on the New York Stock Exchange. The US$2.56 billion offering represents a sale of approximately 14.0 percent of the Company's outstanding common shares. The offering is comprised entirely of a secondary sale by the MOTC.
