RESULT OF EGM


The Board of Westbury announces that, at the Extraordinary General Meeting held
earlier today, each of the Resolutions set out in the notice of Extraordinary
General Meeting included in the prospectus which was sent to Shareholders on 13
July 2006 (the "Prospectus") was duly passed.


The Placing and Open Offer remains conditional upon admission of the New
Ordinary Shares to the Official List of the UK Listing Authority and to trading
on the London Stock Exchange's market for listed securities. It is expected that
Admission will occur, and that dealings in the New Ordinary Shares will
commence, on 8 August 2006. The New Ordinary Shares will, on Admission, rank in
full for all dividends and other distributions declared, made or paid on the
Existing Ordinary Shares after Admission and will otherwise rank pari passu in
all respects with the Ordinary Shares in issue on 13 July 2006.


Terms used in this announcement shall have the same meanings as in the
Prospectus. Copies of the Prospectus may be inspected at the UKLA's document
viewing facility which is situated at the Financial Services Authority, 25 The
North Colonnade, Canary Wharf, London E14 5HS.
