                      Woolworths Group plc ("the Company")

Application has been made to the Financial Services Authority and the London
Stock Exchange plc for a total of 352,967 ordinary shares of 12.5p each
("shares") to be admitted to the Official List.

It is expected that admission will be granted on 11 October 2004 and trading
will commence on 12 October 2004.

These shares are being issued as a result of the exercise of share options under
the Woolworths Group Sharesave Scheme (5,727 shares) and the Woolworths
Executive Share Option Scheme (347,240 shares).

These shares will rank pari passu with the existing issued ordinary shares.
