Woolworths Group plc became aware on 6 April 2004 that two directors named below
became entitled to a contingent interest in Woolworths Group plc ordinary shares
of 12.5p each acquired by the Woolworths Group Employee Share Trust on 5 April
2004 at a price of 40.5p per share.  The shares are held by the Trustees and for
release to each director in April 2007 depending on certain conditions being
met.  The respective entitlements are as follows:


Trevor Bish-Jones      119,563 shares
Christopher Rogers      41,070 shares
