Application has been made to the Financial Services Authority and the London
Stock Exchange Plc for a total of 1,327 Ordinary shares of 12.5p each ("shares")
to be admitted to the Official List.

It is expected that admission will be granted on 6 November 2002 and trading
will commence on 7 November 2002

These shares are being issued as a result of the exercise of share options under
the Woolworths Group Sharesave Scheme and will rank pari passu with the existing
issued ordinary shares.
