RE GERALD CORBETT

The Board of Woolworths Group plc today confirm that following the Annual
General Meeting on 22nd May 2002, Gerald Corbett will move to a part-time basis
with the Company in his role as Group Chairman. Mr Corbett has agreed to work up
to three days a week for an annual fee of £125,000, reflecting a higher salary
and time commitment than was originally envisaged at the time of the demerger.

This decision has been taken in order to ensure that Mr Corbett is able to
devote as much time as is necessary to the Business in support of Trevor Bish-
Jones, the new Chief Executive. 

The Board also confirm that Mr Corbett requested that the Remuneration Committee
not consider him for a bonus for the year ended 2nd February, 2002.
