            Transfer of Virotec Group Domicile - First Court Hearing

Further to the announcement on 1 June 2006 in relation to the proposed change of
domicile of the Virotec Group from Australia to England, the directors of
Virotec International Ltd ('Virotec (Aus)') (AIM: VTI), advise that the first
hearing of the Supreme Court of Queensland in relation to the proposal took
place today.

The Supreme Court of Queensland has ordered that a meeting of shareholders be
held on 31 July 2006 in Brisbane, Australia, to consider the proposal to effect
the change of domicile through a scheme of arrangement under the Australian
Corporations Act 2001 (the 'Proposed Scheme'), involving a share-for-share
exchange, with Virotec International plc ('Virotec UK'), a company newly
incorporated in England and Wales and established for this purpose.

The Proposed Scheme documentation, which includes an explanatory statement and
an Appendix to the AIM pre-Admission announcement, will be sent to shareholders
on or about 28 June 2006 and will be made available from Virotec (Aus)'s website
at www.virotec.com.

An indicativetimetable, which is subject to change, is set out below:
