Application has been made to the UK Listing Authority for the listing of, and to
the London Stock Exchange for the Admission of 404,765 Ordinary Shares of 25p
each fully paid, ranking pari passu with the existing ordinary shares, to the
Official List.

The shares will be issued pursuant to the acquisition of WebControl Gmbh,
announced on the 19 February 2001 (224,765 shares), and pursuant to the exercise
of share options (180,000 shares).

Copies of this brochure are available for inspection from the Document Viewing
Facility of the UK Listing Authority during the next two business days and from
