Notice of General Meeting

Verditek plc, (AIM:VDTK) the international green technology company that develops, manufactures and sells lightweight solar panels, is issuing a notice of General Meeting.

Further to the Financing Update notification on 29 November 2023, as the authority to allot shares approved at the Annual General Meeting on 25 July 2023 has since been utilised, the Board is seeking authority now to allot up to 100% of the existing issued share capital and authority to allot such capital on a non-pre-emptive basis. This will give the Company the flexibility to issue new shares in the event that future required working capital is to be funded via share issuance.

Consequently, the Company is convening a General Meeting on Thursday 21(st) December 2023 at 11:00am GMT at the offices of Peachey & Co LLP, 7th floor, 95 Aldwych London, WC2B 4JF.

Copies of the following documents, which contain details of the resolutions to be voted on at the General Meeting, are today being posted to the Company's shareholders:

   1.            Notice of the General Meeting of the Company; and 
   2.            Form of proxy for use at the General Meeting
