THIS NOTICE IS IMPORTANT AND REQUIRES THE IMMEDIATE ATTENTION OF
THE HOLDERS OF THE ETP SECURITIES. IF ANY ETP SECURITYHOLDER IS IN
ANY DOUBT AS TO THE ACTION THEY SHOULD TAKE, THEY SHOULD CONSULT
THEIR OWN INDEPENDENT PROFESSIONAL ADVISERS IMMEDIATELY. THIS
NOTICE CONTAINS INSIDE INFORMATION FOR THE PURPOSES OF THE MARKET
ABUSE REGULATION (EU) 596/2014 and the Market Abuse Regulation (EU)
596/2014 which is part of UK law by virtue of the European Union
(Withdrawal) Act 2018 (as amended), as supplemented by The Market
Abuse (Amendment) (EU Exit) Regulations (SI 2019/310)
If you have recently sold or otherwise transferred your entire
holding(s) of ETP Securities referred to below, you should
immediately forward this document to the purchaser or transferee or
to the stockbroker, bank or other agent through whom the sale or
transfer was effected for transmission to the purchaser or
transferee.
Notice to ETP Securityholders of the Leverage Shares 3x Tesla
ETP Securities (ISIN: XS2297549128) (the "Relevant Series")
Leverage Shares plc (the "Issuer") hereby provides notice to the
holders of the Relevant Series that, due to technical issues with
the Margin Loan Provider of the Relevant Series on 9 June 2023, the
Portfolio Administrator was not in a position to completely
rebalance the Margin Account for the Relevant Series in order to
track the iSTOXX Leveraged 3x TSLA Index. As a result, the degree
of leverage exposure provided by the Relevant Series to the
Reference Asset by open of trading on 12 June 2023 on the exchanges
where it trades, will deviate from its Leverage Factor (the
"Tracking Error").
The Tracking Error will continue until further notice. The
extent of the Tracking Error will be driven mainly by the number of
units held in the Reference Asset of the Relevant Series (which is
updated daily on the Issuer's Website) and its daily closing
price.
The Issuer is working to resolve the Tracking Error as soon as
possible and will notify ETP Securityholders of the Relevant Series
when the Tracking Error ceases.
As at open of trading on 12 June 2023, on the exchanges on which
it trades, the degree of leverage exposure provided by the Relevant
Series to the Reference Asset will be 2.87x.
Terms used but not defined in this notice shall bear the
meanings assigned to them in the Issuer's Base Prospectus approved
by the Central Bank of Ireland on 4 May 2023.
