("Top Creation" or the "Company")
Update on Investment Exit and Issue of Equity
Further to the announcements on 26 February 2014 and 2 June
2014, the Company would like to update the market on the disposal
of its investment in Lot 129, Negeri Melaka (the "Disposal").
Recently Sanichi Technology Berhad (the "Purchaser"), has
announced the approval of the right issue by the Purchaser's
shareholders to raise the remaining funds to complete the purchase
of Lot 129. The full announcement may be found at

The Company previously announced that it expected the Disposal
to complete by the end of August 2014. The Company has now been
informed by the Purchaser that it expects to complete the rights
issue by end of September 2014 with the Disposal completing
thereafter.
To help cover the Company's working capital needs in the event
that the funds are not received from the Disposal, the Company also
announces that it has conditionally raised GBP100,000 before
expenses by way of a subscription of 66,666,666 new ordinary shares
of 0.1 pence each ("Ordinary Shares") at a price of 0.15 pence per
Ordinary Share with institutional investors (the
"Subscription").
Application will be made for the Ordinary Shares to be admitted
to trading on AIM and admission is expected to occur at 8:00am on 4
August 2014 ("Admission").
Following the Admission, the Company will have in issue
771,297,618 Ordinary Shares. The Company does not hold any Ordinary
Shares in treasury. Therefore the number of Ordinary Shares with
voting rights in the Company will be 771,297,618.
This figure may be used by Shareholders in the Company as the
denominator for the calculations by which they will determine if
they are required to notify their interest in, or a change to their
interest in, the share capital of the Company.
